7digital is a platform product for the world’s music, hosting over 70 million tracks and processing thousands of new releases each week. As a B2B provider, we help our clients build innovative new music experiences, such as social video app Trillerhome fitness challenger Apex Rides, and established streaming platforms like Soundtrack Your Brand.

Founded in 2004, 7digital has spent over a decade at the cutting edge of music innovation. It started by building digital download stores for music labels, and it’s own direct to consumer offering for DRM-free downloads. 7digital was involved in a reverse merger with UBC Media in 2014, becoming publicly traded on the AIM. 2019 proved to be a pivotal year, and the business committed to investing in scalable, repeatable Product - its B2B API platform for music. In 2020, 7digital raised £6M to go after the emerging home fitness and social media markets, planning to double revenue and scale responsibly, in-line with client growth.

About the role

This is an inital 12 month Fixed Term Contract, with the possibility of extension.

We are seeking a legal counsel in order to provide legally sound and pragmatic/business-minded support to both the (1) general legal and (2) the music partnerships functions of the business. Working alongside both our Chief Content Officer and Head of Legal and Business Affairs, you will play a pivotal role in providing counsel, support and to help inform commercial decision-making on a daily basis. The role will see you working with multiple stakeholders across the business and you will naturally be in your element when working across multiple projects.

Legal Responsibilities (essential)

To provide ongoing support to the Head of Legal & Business Affairs with respect to a broad array of general legal/commercial issues including:

  • Provision of advice and guidance to internal and external stakeholders with regard to business/legal risks, including dealing with insurance brokers with respect to ongoing risk management and group company activity (commercial and/or corporate)
  • Advising on a broad range of legal documents across the spectrum of the deal process including: NDAs, term sheets/heads of terms, full form agreements (umbrella framework terms together with specific service schedules), SLAs, GDPR schedules/provisions, re-negotiations, amendments and variations
  • Dealing with all contentious issues with respect to ongoing agreements, providing sound legal advice whilst focusing on commercially pragmatic solutions
  • Negotiating standard and non-standard B2B music 'platform as a service' agreements utilising 7digital's proprietary API technology
  • IP portfolio management
  • Ensuring commercial objectives are clearly and correctly articulated, including providing advice in relation to complex commercial proposal
  • Advising on consumer related issues with respect to 7digital's direct to consumer offering, including any related GDPR/privacy issues
  • Advising 7digital's creative team with respect to commercial and legal aspects of production and distribution of content for broadcast, including all ancillary agreements
  • Reviewing general commercial agreements with a wide range of suppliers such as recruitment agents, technology providers, marketing providers; various types of agency agreements etc
  • Providing general employment/HR support
  • management of ongoing property/lease obligations and ancillary agreements;
  • Drafting/negotiating agreements for the engagement of talent for live events, and associated production, partnership and/or sponsorship matters
  • Liaising with and management of external counsel where necessary.

Music Partnerships (desirable but not required)

To provide ongoing support to the Chief Content Officer with respect to a broad array of 'music partnerships' work from a legal and commercial perspective including:

  • Provision of ongoing support to manage and administer existing rights holder deals and relationships with respect to 7digital's direct to consumer store
  • To review, draft, negotiate/re-negotiate key blanket / catalogue music license agreements
  • To advise on music copyright-related intellectual property rights issues
  • To advise on new and innovative initiatives to offer content to consumers (in collaboration with third party partners), and respective rights issues
  • To pragmatically deal with any potential contentious content issues

About you

  • Sound legal sense, coupled with a pragmatic, creative, risk-based approach to problem-solving
  • Critical and strategic thinking - balancing legal risk and business needs
  • Experience working collaboratively and cross-functionally in a dynamic, fast-paced environment, with tight turn-around times and deadlines
  • Entrepreneurial mindset, flexible, self-starting, hard-working, with a tolerance for working across multiple time zones
  • Excellent drafting, negotiation and organisational skills, with an ability to handle a substantial volume of transactions simultaneously and prioritise among multiple urgent, complex projects or matters
  • Excellent communication and interpersonal skills

Requirements

  • English qualified solicitor with at least 5 years' post-qualification experience
  • Substantial experience negotiating and drafting a wide array of commercial contracts, with a strong foundation and understanding of contract/IP/IT/copyright law.
  • A detailed knowledge of talent rights and production agreements for live and/or pre-recorded content
  • Demonstrable experience working directly with or for music rights holders and/or DSPs, negotiating and drafting complex digital music rights deals with or for digital service providers
  • Subject matter expertise – a deep and broad understanding of the digital music rights landscape
  • Experience advising on consumer law and regulation relevant to digital service providers, including GDPR/privacy issues
  • Familiarity with Google Docs, Gmail, and Microsoft Office
